Paramount Sweetens Offer For Warner Bros. Discovery

Also Read

Paramount has enhanced its offer for Warner Bros Discovery, not formally upping its $30-a-share cash bid but injecting a new $0.25-per-share so-called “ticking fee” payable to WBD shareholders for each quarter its transaction has not closed beyond December 31, 2026.

It said the move comes to about $650 million in cash value each quarter and underscores “Paramount’s confidence in the speed and certainty of regulatory approval for its transaction.” It also agreed to fund a $2.8 billion termination fee that would be payable to Netflix and ticked off a series of concessions around WBD’s debt financing costs and obligations.

Warner Bros Discovery has a deal to sell its studios and streaming assets to Netflix and advised shareholders several times to reject a hostile takeover offer from David Ellison‘s company, which is looking to acquire all of WBD. There’s a full-out PR battle raging as executives of all three court content creators, unions, Warner shareholders, politicians and regulators on both sides of the Atlantic. Netflix late last month upgraded its offer of $27.75 a share from cash-and-stock to all cash.

WBD has yet to set a date for a special meeting in April where shareholders will vote on the Netflix transaction. It’s been urging them to cast a yes vote. Paramount is aggressively lobbying them to vote no and, meanwhile, to tender their WBD shares to Paramount. The Ellisons have said they are planning to run an alternate slate of directors for election at WBD’s annual meeting, which comes later.

Both deals are expected to have long lead times to close. Netflix is not buying the cable assets and its agreement would see WBD spin off linear television into a separate public company called Discovery Global.

Paramount is ramping up the pressure with its announcement today. The $2.8 billion termination fee that would be due to Netflix if WBD switches sides has, for instance, has been an objection raised by the Warner board, which confirmed receipt of the amended offer. It will “carefully review and consider” it and issue a recommendation. Meanwhile, the board stressed that it still backs the Netflix deal and advised stockholders not to take any action on Paramount’s latest unsolicited offer.

Paramount’s other new commitments include eliminating WBD’s potential $1.5 billion financing cost by fully backstopping an exchange offer that relieves WBD of its contractual bondholder obligations. Par said it will fully reimburse WBD’s shareholders for the $1.5 billion fee without reducing a separate $5.8 billion termination fee. That’s the amount Paramount (and Netflix) have agreed to pay WBD if an acquisition fails to close.

Also, if WBD’s financing sources will not extend the maturity of WBD’s existing $15 billion bridge loan, Paramount said its own debt financing sources “are fully prepared to do so, with any incremental costs covered by Paramount. Alternatively, Paramount will permit WBD to structure permanent financing in any way it chooses so long as the debt is redeemable at a commercially reasonable cost.”

Paramount said it will provide WBD flexibility between signing and closing, including by matching any comparable Netflix interim operating covenants. It said it “is open to discussing with the WBD Board of Directors contractual solutions to account for the possibility of continuing deteriorating financial performance beyond what WBD is currently projecting for its linear network business.”

Paramount’s amended offer is now fully financed by an increased $43.6 billion of equity commitments from the Ellison family and RedBird Capital Partners and $54 billion of debt commitments from Bank of America, Citigroup and Apollo.

Financing includes “an irrevocable personal guarantee” from Oracle co-founder Larry Ellison of $43.3 billion covering the equity financing as well any damages claims against Paramount.

“While we have tried to be as constructive as possible in formulating these solutions, several of these items would benefit from collaborative discussion to finalize. If granted a short window of engagement, we will work with you to refine these solutions to ensure they address any and all of your concerns,” David Ellison wrote in a letter to the WBD board released publicly and in an SEC filing today.

Paramount claims the WBD board has consistently refused to engage with it over the course of multiple offers, which Warner has denied.

Hold on to your diapees, babies, as Nickelodeon International will be premiering brand new episodes of Rugrats (2021) across its Nickelodeon Global Unlimited feed daily 22:15 CET starting Sunday 1st March 2026!

'Rugrats (2021)' Key Art

The newly-formed Nickelodeon Global Unlimited feed is currently available in Central and Eastern Europe (CEE), South Africa, Belgium, Denmark, Sweden, Finland and Portugal.

Produced by Nickelodeon Animation and originally debuted as a Paramount+ Original, Rugrats (2021) is a CG-animated reboot of Nickelodeon's much-loved '90s animated series, Rugrats. Much like the original series, Rugrats (2021) followed the adventures of Tommy, Chuckie, Angelica, Susie, Phil and Lil as they take on the world with their pint-sized perspectives and a diapie full of snacks.

Season two of Rugrats (2021) follows the gang as they cross the frozen tundra, discover the treasures of ancient babies and go on the greatest adventure of all: meeting Tommy’s new brother.

Unfortunately, Rugrats (2021) was canceled mid-way through its season two run in the U.S. eventually being removed from Nickelodeon and Paramount+ altogether. The current batch of new Rugrats (2021) episodes premiering on Nickelodeon Global Unlimited this March includes the latter half of season two, which never got to air in the U.S., either on TV or streaming. A third season of Rugrats (2021) consisting of 13 episodes was ordered before its cancelation, however, the statuses of episodes are unclear.

Sunday 1st March 2026 - The Climb / Wolf at the Door: Susie entertains her friends with the story of Jackie, who climbs a magic beanstalk and meets a cranky, sleep-deprived giant. // Susie the House-Finder shows baker Chuckie some house-bakery options, but a big bad wolf named Angelica has other plans. (#215)

Monday 2nd March 2026 - Chuckie Little / What's Your Wish: Mayor Susie leads an investigation to figure out why everyone in Fairytale Village thinks the sky is falling. // Fairy Godmother Susie tries to grant the perfect wish for Cinder-Angelica, which proves to be more difficult than expected. (#216)

Tuesday 3rd March 2026 - Mini-Mommy / No Talking: Tía Esperanza comes by to wish Betty, Phil, and Lil a happy Día de los Niños, bringing gifts for all, including a cup-and-ball toy that makes Betty feel like a kid again. At the park, Betty walks away to shred some skateboard tricks, and while she's gone, a little girl who resembles her appears on the playground. The babies grow convinced that the cup-and-ball toy has turned Betty back into a child, and although Phil and Lil are excited by this at first, eventually they want their grown-up Mommy back. // Angelica gloats about how great it is that she can talk to grown-ups, rubbing her privileges in the babies' faces. But after straining her vocal cords at a Cynthia concert, she loses her voice and can no longer boss the babies around or demand things from Didi and Stu. The babies take advantage of the situation, so of course Angelica is thrilled when Kimi arrives and offers to be her voice for the day. But Kimi's misinterpretations of Angelica's needs are even more frustrating than not having a voice at all. (#214)

Wednesday 4th March 2026 - A Scare to Remember / The Long Playdate: A Cynthia doll is missing from Begley's collection, so Angelica recruits Tommy and Chuckie to look for her ghost in the basement. // Although Chas and Kira are enjoying spending more time together, Chuckie and Kimi have trouble bonding. (#217)

Thursday 5th March 2026 - Guitar Man / Uncle Jake's Day Out: When Angelica accidentally breaks her grandpa's "Guitar Man" figurine, the babies help her concoct a monstrous cover story. / Tommy's fun uncle Jake comes to town and inspires Chuckie to live life in the fast lane when they visit the farmer's market. (#218)

Friday 6th March 2026 - Purim: While Uncle Jake teaches the grown-ups how to bake hamantaschen cookies, Boris tells the story of Purim, and the babies envision themselves and other kids on the playground as the story's characters in ancient Persia. (#221; Purim special)

Saturday 7th March 2026 - Surving Dil / Reptar's Mama: The babies must use their survival skills to return a baby kangaroo to its mommy, but Dil seems to get in the way. // Reptar's mama Reptilda is able to schedule a rare visit with her son, and Chuckie wants to ensure they have a perfect day together. (#219)

Sunday 8th March 2026 - The Heist / The Lambster: When Didi and Stu donate Dil's beloved mobile to a charity auction, Tommy recruits veteran thief Angelica to help get it back. // Phil and Lil yearn for a pet, so they perform some questionable science and bring their stuffed animal Lamby to life. (#220)

Monday 9th March 2026 - The Tommy / Breaking Begley: Dil is growing so quickly that he's on track to outgrow Tommy, who now steps aside as leader for the babies' new mission. // After Angelica breaks the leg of Begley's treasured Cynthia, her only hope is to rely on Doctor Susie's doll surgery skills. (#222)

Tuesday 10th March 2026 - Big Night / No, No, Nana: Kimi thinks her mama has forgotten to bring her to dinner, so the babies embark on a road trip to the restaurant. // Angelica's nana Judith comes to town and takes a "yes and" approach to babysitting, indulging all of Angelica's reckless ideas. (#223)

Wednesday 11th March 2026 - The Sleepover / The Favor: Tommy spends the night at Phil's and Lil's and is surprised to learn that there's no "sleep" during a sleepover-only partying! // After Susie rescues Josh's stick sword, he owes her a favor, but none of his attempts to pay her back are very nice. (#224)

Thursday 12th March 2026 - Chuckie Come Home - Part 1: The grown-ups prepare a secret party to celebrate Chas's proposal to Kira, but after a misunderstanding, Chas calls off the whole plan. In fact, he decides he needs a "fresh start," which means taking Chuckie and moving in with Aunt Linda in a whole other city. At Aunt Linda's, Chuckie meets his cousin Archie, who looks a lot like a dog. While the other babies mope around, missing their friend, a new family named the Mehtas move into the Finsters' old house, next door to the Pickles'. The babies meet Darsh Mehta, two and a half, who's just as adventurous as they are, if not more. Meanwhile, the grownups hatch a scheme to reunite Chas and Kira at the Volcano Golf Course, which has special significance for childhood rivals Drew and Linda. (#225)

Friday 13th March 2026 - Chuckie Come Home - Part 2: All the parents and kids have arrived at the Volcano Golf Course, at which point the babies learn there's a volcano at the center of the course where "everything happens." Of course, this must mean they'll be able to find Chuckie there and bring him back home! To get to the volcano, however, they must journey through an animal-filled jungle, a raging river, and a dark cave. Meanwhile, Chuckie sets off on a similar journey from the opposite end of the course, accompanied by Archie. Communicating via their baby monitor walkie-talkies, the two groups head towards the center of the golf course while their parents play through each hole. Kira and Chas prepare to see each other again, nervous but excited to reunite, while Drew and Linda prepare to face off once more at the final hole to seek redemption for a dramatic golf game from their childhood. (#226; season two finale; possible series finale)

The series stars EG Daily (Tommy Pickles), Nancy Cartwright (Chuckie Finster), Cheryl Chase (Angelica Pickles), Cree Summer (Susie Carmichael) and Kath Soucie (Phil and Lil DeVille), all of whom are reprising their iconic roles in this new series.

Returning to the playpen is Tommy’s beloved little brother, Dil, voiced by Tara Strong (The Fairly OddParents, Teen Titans Go!) who is reprising her role in this new series. Also joining the series this season are guest stars Yvette Nicole Brown (Drake & Josh, Community) as Miss Mellie, the friendly and silly tour guide at re-created Old West town Tot Springs; Wendie Malick (The Owl House) as Judith, Charlotte’s glamorous yet often condescending mother; Sarah Niles (Ted Lasso) as Nanny Pip, a proficient and encouraging robotic nanny who watches Angelica; and Alia Shawkat (Severance) as Trish, Betty’s new girlfriend who is eager to make friends with everyone.

The original adventurous babies’ voice cast is joined by new voices, including Ashley Rae Spillers and Tommy Dewey (Tommy’s parents, Didi and Stu Pickles); Tony Hale (Chuckie’s father, Chas Finster); Natalie Morales (Phil and Lil’s mother, Betty DeVille); Anna Chlumsky and Timothy Simons (Angelica’s parents, Charlotte and Drew Pickles); Nicole Byer and Omar Miller (Susie’s parents, Lucy and Randy Carmichael); Michael McKean (Grandpa Lou Pickles); Charlet Chung (Kimi); and Grey Delisle (Begley). Also returning as guest stars in season two are Henry Winkler (Boris); Swoosie Kurtz (Minka); Telma Hopkins (Celeste); Raini Rodriguez (Gabi); Keith Carradine (Bob Brine); and Richard Ayoade (Duffy).

Produced by Nickelodeon Animation, the all-new RUGRATS is based on the series created by Arlene Klasky, Gabor Csupo, and Paul Germain. Charlie Adler (Rugrats) serves as the voice director. Production is overseen by Mollie Freilich, director of current series animation at Nickelodeon.

Ellipse Animation and Belvision announced their partnership with Nickelodeon last year. The partnership will see Nickelodeon broadcast The Marsupilamis (52 x 11’) worldwide, excluding the U.S.A. and China.

“This fresh take on the iconic character, created over 70 years ago by Belgian author André Franquin, brings the legendary Marsupilami from the wild Palombian jungle into the heart of the city,” said Nickelodeon, which is part of Paramount, now owned by Skydance Media.

Media-Participations’ animation production companies Ellipse Animation (The Smurfs, The Garfield Show) and Belvision (Asterix: The Mansions of the Gods, Zombillenium) are coproducing the new series based on the classic cartoon character. Mediatoon Distribution and Mediatoon Licensing, also part of the family-owned group, are handling international sales and consumer products, and recently introducing The Marsupilamis respectively to MIPCOM and Brand Licensing Europe (BLE).

The Marsupilamis has also been commissioned by other major broadcasters including M6/Gulli in France, RTBF and VRT in Belgium, RTS in Switzerland and Radio Canada.

“Slated to launch in 2026, the comedic, action-packed new series follows twins Jade and Mica who find their world turned upside down when their explorer parents entrust them with three mysterious Marsupilami eggs,” according to a plot description. “Once they hatch, the siblings must get creative to keep their new friends hidden – after all, no one knows these energetic creatures exist, and predators could be lurking around every corner.”

Created over 70 years ago by Belgian artist & writer André Franquin, Marsupilami has become one of the most iconic characters in comic-book history, having been adapted numerous times for television, cinema and videogames. With its eight-meter-long tail, unmissable spotted fur and a distinctive “Houba”-based language, this creature has captured the imagination of kids and families across generations.

In the new animated series, the legendary Marsupilamis swap the wild Palombian jungle for an even wilder place: the city. There, twins Jade and Mica find their world turned upside down when their explorer parents entrust them with three mysterious Marsupilami eggs. Once they hatch, the siblings must get creative to keep their new friends hidden — after all, no one knows these energetic creatures exist, and predators could be lurking around every corner.

The series targets children aged five and up. It is directed by Célestine Jacquel-Plays (Grizzy and the Lemmings), with Andrew Barnett Jones and Ciaran Murtagh (The Amazing World of Gumball) as head writers and Guilhem Deckers (Minions 2) as artistic director. Through a comprehensive 3D production pipeline, the creative team has expanded visual and narrative horizons, blending situational comedy and action-packed scenes.

“We are thrilled to finally present The Marsupilamis series, with our best talents bringing a new take on the most iconic IP of our portfolio,” said Caroline Duvochel, Head of Audiovisual & Innovation at Média-Participations and Managing Director of Ellipse Animation. “An ambitious and unique branding strategy unites all entities within the Média-Participations group, placing The Marsupilamis at the forefront of our creative efforts. Collaborating with the top-tier Paramount team is a true delight, enhancing the global reach and impact of our legendary character.”

Layla Lewis, Senior Vice President (SVP), Global Acquisitions & Content Partnerships for Nickelodeon, added, “We are delighted to be partnering with Ellipse and Belvision to introduce The Marsupilamis to our Nickelodeon audiences. This fresh take on a beloved character brings a vibrant mix of humor, heart and adventure that makes it an excellent addition to our international slate.”
